Uhh... they are legally allowed to re-issue things they've previously made in the past, they don't need to get the rights again because they own the finished product rights which have nothing to do with Sam and Max being in the game.

As for the second, they DID own the sam & max rights until they cancelled its sequel, so there was nothing wrong with the refernecing in EMI.
The ONLY thing that could have caused trouble was reusing them in some new stuff, like this new art they used for the special edition. Which is why they skipped them.
I suspect we'll see a Sam and Max reference just before TT officially announces S&M Season 3:

With the machine in the prosthetic shop I think one of the addresses that come out is, as Pale Man said, Sam N. Max.
He, he. They removed this Sam&Max reference in the new version.
Only in the SE mode, if you swap back to the original mode Sam and Max remain in front of the monkey head.
It's still a pretty lame thing to do.
